These Terms and Conditions govern your access to and use of the website at fundsdirectnow.com (together with its subdomains, the "Site") operated by Funds Direct Now ("Funds Direct Now," "Company," "we," "our," or "us"). By accessing or using the Site, you acknowledge and agree that you are entering into a binding legal agreement with us and have agreed to comply with, and be legally bound by, these Terms and Conditions (together with our Privacy Policy, the "Terms"). If you do not agree, please do not access or use the Site.
We reserve the right, in our discretion, to change these Terms at any time. Any change will be effective ten (10) days following the posting of the revised Terms on the Site, and your continued use of the Site thereafter means that you accept those changes.
This Site is intended only for individuals aged eighteen (18) years or older who are business owners or authorized representatives of a business seeking commercial financing. If you are under 18, please do not use the Site. The Site and its services are intended for business and commercial purposes only, and not for personal, family, or household purposes. During the period these Terms are in effect, we grant you permission to visit and use the Site, provided that you comply with these Terms and applicable law.
You shall not: (i) copy, distribute, display, mirror, frame, or modify any part of the Site, Content, or Marks (as defined below) without our prior written authorization; (ii) use, modify, create derivative works of, transfer, reproduce, distribute, display, or publish any Content, except as expressly authorized; (iii) disrupt servers or networks connected to the Site; (iv) use or launch any automated system (including "robots" and "spiders") to access the Site; and/or (v) circumvent, disable, or otherwise interfere with security-related features of the Site.
Some services on the Site require you to provide information about you and your business, some of which may be sensitive and may include information about your business's finances. You undertake to provide only information that is accurate, true, complete, and current, and to truthfully represent your identity and authority to act on behalf of the business. Our collection, use, and disclosure of your information is subject to these Terms and our Privacy Policy.
The Site allows you to submit an online request ("Match Request") to be matched with one or more third-party lenders, funding providers, brokers, marketing partners, and/or other service providers who offer commercial-financing products or services (collectively, "Partners"). If you decide to engage with one or more Partners, you will enter into a separate agreement directly with each. We do not guarantee that any offer will have the best rates or terms available, or that you will be approved for any financing.
You may revoke your consent and opt out of future communications at any time — reply STOP to any text message, use the unsubscribe link in emails, or contact us using the details below. Communications from Partners are subject to each Partner's respective terms, and any request to stop receiving communications from a specific Partner should be addressed to that Partner directly. We are not responsible for a Partner's failure to follow instructions to stop contacting you.
By submitting a Match Request, you also authorize us and our Partners to conduct research necessary to evaluate your request, and to share your information as needed to do so. For example, a Partner may obtain business or personal credit reports or scores in connection with your request. If you do not wish to allow this, do not submit a Match Request.
We are not a lender, funder, or broker. We do not make credit decisions, offer or originate financing, or collect formal applications. All approval decisions and terms are determined solely by the Partners at the time you apply directly with them. A Match Request is not a financing application and does not obligate any Partner to extend an offer.
The Site enables you to access and interact with third-party websites, services, Partners, and content ("Third-Party Content") that we do not own or control. We assume no responsibility for the content, terms, privacy policies, or practices of any third party, and we disclaim all warranties regarding Third-Party Content. Your interaction with, and reliance on, any third party is at your sole discretion and risk, and you release us from any liability arising from it. Any complaints regarding a third party should be directed to that third party.
The content on the Site — including text, graphics, software, interfaces, code, and the design, "look and feel," and arrangement of such content (the "Content") — and the trademarks, service marks, and logos on the Site (the "Marks") are owned, controlled, or licensed by or to us and are protected by applicable laws. All other marks are the property of their respective owners. Content is provided for your information and internal business use only and may not be copied, distributed, sold, or otherwise exploited without our prior written consent.
We attempt to be as accurate as possible but do not warrant that the Content is accurate, complete, reliable, current, or error-free. We may change the Content at any time without notice. Your use of the Content is at your own risk.

We will use any information we collect in connection with the Site in accordance with our Privacy Policy.
We may help connect you with Partners based on the information you provide. We are not a lender, funder, broker, or other financing provider, and we do not take part in any credit or financing decision made by any Partner. We do not issue loans, merchant cash advances, lines of credit, or any other financial products.
We may offer interactions through SMS text messaging, RCS, and other messaging channels (the "Messaging Program"). Messages may include informational updates, reminders, and — where permitted and subject to your consent — marketing content. Message frequency varies. Message and data rates may apply, and carriers are not liable for delayed or undelivered messages. You may opt out of marketing messages at any time by replying STOP; reply HELP for assistance. Your participation is subject to our Privacy Policy. By participating, you confirm you are the owner or authorized user of the mobile number provided.
This section applies whether or not the services are paid for. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE TERMS, RATES, FEES, QUOTES, OR SERVICES OFFERED BY PARTNERS, DO NOT GUARANTEE THEY ARE THE BEST AVAILABLE, AND DO NOT GUARANTEE THAT YOU WILL BE APPROVED FOR ANY FINANCING. YOUR USE OF OR RELIANCE ON ANY CONTENT, OR INTERACTION WITH ANY THIRD PARTY, IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, OR REPUTATION, ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED US $100. Some jurisdictions do not allow certain limitations, so they may not apply to you.
You agree to defend, indemnify, and hold harmless the Company and our affiliates, officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (i) your use of, or inability to use, the Site; (ii) any information you provide; (iii) your interaction with any Site user or Partner; or (iv) your violation of these Terms or applicable law.
These Terms are effective until terminated by us or you. We may terminate these Terms and/or your access to the Site at any time, with or without cause. If you become dissatisfied with the Site, your only recourse is to discontinue use. Sections 5, 7, 11, 15, 16, 17, and 19 survive termination.
These Terms and the relationship between you and the Company are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Middlesex County, New Jersey, provided that we may seek injunctive relief in any court of competent jurisdiction. These Terms constitute the entire agreement between you and the Company concerning the Site. If any provision is deemed invalid, the remaining provisions remain in effect. YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER IT ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.
